TKBOX Terms of Service

1. Definitions

• "Agreement" means these Terms of Service and any amended version.
• "we," "us," or "Company" means Intdance (HK) Limited, a limited company incorporated under the laws of Hong Kong, China.
• "TKBOX" or "Application" means the TKBOX desktop application developed and operated by us and the related website, tkbox.live.
• "user" or "you" means any person or entity that downloads, installs, accesses, or uses TKBOX.
• "Services" means all functions and services provided through TKBOX, including live-chat interaction, interactive games, beauty effects, fan tasks, analytics, virtual camera, and paid features.
• "Virtual Goods" means digitally supplied goods or services available for purchase and use in TKBOX, such as beauty templates, game items, and feature unlocks.
• "Content" means text, images, audio, video, software code, interface designs, and other information appearing in TKBOX.

2. Acceptance and Amendment

2.1 This Agreement is legally binding between you and us. Downloading, installing, or using TKBOX means that you have read, understood, and accepted all terms.

2.2 We may amend this Agreement in response to changes in law, product functions, or operational needs. The amended Agreement and its effective date will be published in TKBOX and at tkbox.live. Material changes will be communicated through in-app notices, email, or similar means.

2.3 Continued use after an update constitutes acceptance. If you disagree with an amended term, stop using and uninstall TKBOX.

3. Service Description

3.1 TKBOX is a PC interaction toolkit for livestream creators. Its main functions include:

• Live chat and video: Improved chat display and quick access to audience feedback, gifts, and tasks.
• Interactive games: Draws, wheels, drawing games, treasure journeys, and other interactive formats.
• Fan tasks: Central management of wish lists, task lists, and gift records.
• Analytics: Statistical dashboards for gifts, interactions, and livestream performance.
• Beauty effects: Beauty filters and effect tools.
• Virtual camera: Output of interactive components to mainstream livestream software.

3.2 We may add, adjust, suspend, or discontinue functions for operational reasons without prior notice, while using reasonable efforts to reduce disruption.

3.3 TKBOX currently supports Windows. You are responsible for suitable equipment, network access, and operating system.

4. Account Registration and Management

4.1 Eligibility: You must be at least 18 and have full legal capacity. If registering for an entity, you represent that you are duly authorized.

4.2 Registration information: Provide true, accurate, and complete information and update it when it changes.

4.3 Account security: Keep credentials secure and remain responsible for activities under your account. Notify us immediately of theft or security risks.

4.4 Use restrictions: Each user may register only one account. Accounts may not be transferred, lent, or sold. We may restrict, suspend, or close accounts that violate these rules.

4.5 Identity verification: Some functions may require real-name verification. You must provide valid and truthful identity information where required.

5. User Conduct

5.1 You must comply with applicable laws and may not use TKBOX to:

• violate laws, endanger national security, disclose state secrets, subvert state power, or undermine national unity;
• harm national honor or interests, incite ethnic hatred, or undermine ethnic unity;
• spread rumors, disrupt public order, or undermine social stability;
• distribute obscene, pornographic, gambling, violent, terrorist, or criminally instructive material;
• insult or defame others or infringe their lawful rights;
• infringe intellectual property, portrait, privacy, or other rights;
• access, intrude into, or damage information systems without authorization;
• distribute malware, viruses, or harmful code;
• interfere with TKBOX or attempt unauthorized reverse engineering, decompilation, or disassembly;
• use cheats, automated scripts, or other abnormal means;
• use TKBOX for fraud, money laundering, or other crimes; or
• engage in conduct contrary to law, this Agreement, or public order and good morals.

5.2 When connecting TKBOX to third-party livestream platforms, you must also follow their terms and community rules.

5.3 Enforcement: Depending on severity, we may warn you, restrict functions, suspend service, ban or close accounts, or report matters to authorities. You must compensate us and third parties for losses caused by your violations.

6. Paid Services

6.1 TKBOX provides free basic functions and paid advanced functions, which may include advanced beauty effects, exclusive interactive games, and enhanced analytics.

6.2 Purchases: You may buy paid services through the in-app purchase entry using supported payment methods. Functions or access rights are activated after payment.

6.3 Price changes: We may adjust prices. Changes will be announced in TKBOX in advance and will not change the price of services already purchased.

6.4 Refunds:

• Unless law or this Agreement provides otherwise, Virtual Goods that have been purchased and used are generally non-refundable.
• If a system fault prevents delivery, contact support and we will redeliver or refund.
• Fees are not refunded where an account is banned because you violated this Agreement.
• Submit refund requests to support; we will process them after verification.

6.5 Auto-renewal: If a subscription supports auto-renewal, we will provide a reminder before expiry. Cancel before the renewal date if you do not wish to renew. A successful renewal charge extends the service term.

7. Virtual Goods

7.1 Virtual Goods, including beauty templates, game items, and access rights, have no physical form and may be used only in TKBOX.

7.2 Restrictions: Virtual Goods may not be transferred, sold, exchanged for cash, or used outside TKBOX, and are tied to the purchasing account.

7.3 Validity: Some Virtual Goods expire as stated at purchase.

7.4 Data removal: Closing an account or a ban for violations may remove Virtual Goods and related data without compensation.

7.5 We may adjust, update, or discontinue Virtual Goods for operational reasons and will maintain availability of purchased items within a reasonable scope.

8. Intellectual Property

8.1 All TKBOX content, including software code, interface design, icons, text, images, audio, video, interactive gameplay, and beauty algorithms, is owned by Intdance (HK) Limited or the relevant rights holder and protected by law.

8.2 Without prior written permission, you may not copy, modify, distribute, display, adapt, reverse engineer, decompile, or otherwise use any part of TKBOX.

8.3 "TKBOX," "Intdance," and related marks are our trademarks or trade names and may not be used without written permission.

8.4 Using TKBOX does not transfer intellectual property to you. You receive only a limited right to use the Services while complying with this Agreement.

9. User Content

9.1 Ownership: Intellectual property in content you upload, publish, or generate, such as custom chat styles, beauty settings, and game assets, remains with you or the original rights holder.

9.2 License: You grant us a free, non-exclusive, sublicensable license to use, store, copy, display, and process your content only as necessary to provide the Services.

9.3 Responsibility: You must ensure your content is lawful and does not infringe third-party rights. You are responsible for resulting disputes and losses.

9.4 Moderation: We may, but are not obliged to, review user content and may remove, block, or otherwise address violating content.

10. Disclaimers

10.1 As-is service: TKBOX is provided on an "as is" and "as available" basis. We do not guarantee continuous, uninterrupted, error-free service or that it will fully meet your requirements.

10.2 Third-party services: TKBOX may connect to livestream platforms and payment providers. We do not guarantee their availability, security, or accuracy.

10.3 Platform risks: You must follow third-party platform rules. You bear consequences of violations, such as account bans or withheld revenue.

10.4 Devices and networks: You bear the equipment, network costs, and related risks. We are not responsible for losses caused by your device failures or network interruptions.

10.5 Beauty effects and virtual camera: These are assistive tools and may not be used for deception, infringement, or other improper purposes.

10.6 No professional advice: Analytics are for reference only and do not constitute business, investment, or other professional advice.

11. Limitation of Liability

11.1 To the maximum extent allowed by law, we are not liable for direct, indirect, incidental, special, or consequential damages arising from use of or inability to use TKBOX, including lost profits, lost data, or business interruption.

11.2 Our aggregate liability will not exceed the total fees you actually paid us during the 12 months before the dispute arose.

11.3 These limits do not apply to damage caused by our willful misconduct or gross negligence, or where liability cannot legally be limited.

12. Indemnity

12.1 You agree to fully compensate and hold harmless us, our affiliates, employees, and partners from losses, claims, proceedings, penalties, and reasonable legal fees arising from your breach of this Agreement or law, or infringement of third-party rights.

12.2 We reserve the right to take legal action for your breach.

13. Service Changes and Termination

13.1 Changes: We may change, suspend, or terminate some or all Services and will use reasonable efforts to notify you in advance.

13.2 Account closure: You may close your account through TKBOX or support. Account information, Virtual Goods, and related data will then be deleted or anonymized.

13.3 Termination for breach: For a serious breach, we may immediately suspend or terminate Services and close your account without refunding paid fees.

13.4 After termination: We have no obligation to retain account information or related data. Termination does not affect rights and obligations accrued beforehand.

14. Governing Law and Disputes

14.1 This Agreement and its formation, validity, interpretation, performance, and dispute resolution are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.

14.2 The parties will first attempt to resolve disputes through friendly consultation.

14.3 If consultation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) under its then-current rules. The seat is Hong Kong, and proceedings will be in Chinese or English. The award is final and binding.

14.4 During a dispute, the parties must continue performing unaffected parts of this Agreement.

15. Other Terms

15.1 Severability: If a term is invalid or unenforceable, the remaining terms remain effective and the invalid term will be replaced by a valid term closest to its intent.

15.2 Entire agreement: This Agreement and the Privacy Policy form the entire agreement concerning TKBOX and replace prior oral or written communications.

15.3 Waiver: Failure or delay in exercising a right is not a waiver.

15.4 Assignment: You may not assign rights or obligations without our written consent. We may assign this Agreement to an affiliate or successor.

15.5 Notices: We may send notices through TKBOX, email, SMS, or website announcements.
